1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and QuoteAnvil ("we," "us," or "our") regarding your use of the QuoteAnvil website, mobile application, and related services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.
If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
3. Account Registration and Security
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Immediately notify us of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
3.2 Account Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason we deem appropriate. You may terminate your account at any time by contacting customer support.
4. Subscription and Payment Terms
4.1 Subscription Plans
QuoteAnvil offers subscription tiers with different features, usage allowances, and pricing. Unless a consumer protection law says otherwise, paid plans are business-to-business software subscriptions for contractors and service businesses, not a promise of any specific customer win, revenue, tax outcome, or project result. Fees, taxes, and usage-based charges are billed in advance or as shown at checkout and are non-refundable except as required by law or expressly stated in these Terms.
4.2 Payment Processing
Payments are processed securely through third-party payment processors such as Stripe and, where enabled, PayPal. We do not store full card numbers or bank credentials. By providing payment information, you:
- Authorize us and our payment processors to charge your payment method for subscription fees, AI credits, overages, taxes, and other amounts you approve
- Represent that you are authorized to use the payment method and business account provided
- Agree to pay all applicable sales, VAT, GST, use, withholding, digital-services, and similar taxes unless a valid exemption applies
- Agree to keep your payment information current and resolve failed payments, chargebacks, or disputes promptly
4.2A Customer Payment Fees and Payouts
If you use QuoteAnvil to accept customer payments, third-party processor charges, bank fees, card-network fees, chargeback fees, dispute fees, refund costs, taxes, and provider costs may apply. Fees vary by payment method, card type, processor, country, plan, risk review, provider approval, and the fee-handling settings you choose. Where the product offers "customer pays," "business absorbs," or split-fee settings, those settings determine how fees are displayed and allocated, but you remain responsible for any fees, reversals, refunds, disputes, taxes, or negative balances not collected from your customer.
PayPal customer invoice payments are intended to be direct-to-contractor through the contractor's own connected PayPal merchant account where enabled and approved. QuoteAnvil does not aggregate PayPal customer funds, hold customer funds, or take PayPal partner/platform transaction fees at launch. PayPal features, refunds, disputes, holds, reserves, and availability depend on PayPal approval and PayPal rules.
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date through the product or by contacting support. You will be charged the then-current subscription fee and applicable taxes. We will provide renewal notices, cancellation paths, and consent flows required by applicable automatic-renewal or consumer laws.
4.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period unless applicable law gives you a different right. You remain responsible for charges already incurred, and you should export any business records you need before account closure.
4.5 Refunds
Subscription fees and usage charges are generally non-refundable once the billing period or paid feature access begins, except where required by law. We may provide refunds or credits on a case-by-case basis for:
- Technical errors resulting in duplicate charges
- Service outages lasting more than 48 consecutive hours
- Other exceptional circumstances at our sole discretion
- Non-waivable cooling-off, digital-service, or consumer guarantee rights that apply in your jurisdiction
4.6 AI Credits
AI credit purchases are final and non-refundable except where required by law. Credits may be consumed when requests are submitted to AI systems, including retries, image analysis, quote generation, marketing content, and SpeakForge features. AI providers may change pricing, availability, safety filters, or model behavior; we may adjust credit costs or available AI features to reflect provider costs, abuse prevention, or operational constraints.
4.7 Price Changes
We reserve the right to change our pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days' notice before any price increase takes effect.
4.8 International Purchases and Local Consumer Rights
QuoteAnvil is operated from the United States. If you purchase or use the Service from Canada, the European Economic Area, Switzerland, the United Kingdom, New Zealand, Australia, or another country, you are responsible for complying with local laws that apply to your business, customers, taxes, VAT/GST, invoices, estimates, electronic communications, recordkeeping, licensing, trade practices, and professional services.
Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection, privacy, electronic communications, or digital services laws. Depending on your location and whether you buy as a consumer or a business, local law may provide rights around clear pricing, automatic renewals, cancellation, faulty digital services, refunds, privacy access or correction, and marketing consent.
- Canada: Canadian users may have rights under PIPEDA, provincial privacy laws, consumer protection rules, and Canada's Anti-Spam Legislation (CASL), including rules for meaningful consent and commercial electronic messages.
- Europe, Switzerland, and the United Kingdom: EEA, EU, Swiss, and UK users may have privacy rights under GDPR-style laws and non-waivable consumer rights for digital content, digital services, cancellation, unfair terms, and transparent pricing where those laws apply.
- New Zealand: New Zealand users may have rights under the Privacy Act, Fair Trading Act, Consumer Guarantees Act, electronic transaction rules, and anti-spam rules where those laws apply.
- Australia: Australian users may have rights under the Australian Privacy Principles, Australian Consumer Law, Spam Act, and unfair contract terms rules where those laws apply, including protections for online purchases and digital services.
If a local law gives you a right that cannot legally be excluded, restricted, or modified, these Terms apply only to the maximum extent permitted by that law.
5. Use of the Service
5.1 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
5.2 Acceptable Use
You agree NOT to:
- Use the Service for any illegal purpose or in violation of any laws
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove, obscure, or alter any copyright, trademark, or proprietary notices
- Use the Service to send spam or unsolicited communications
- Impersonate any person or entity or misrepresent your affiliation
- Collect or store personal data about other users without permission
- Use automated systems (bots, scrapers) to access the Service
- Resell, sublicense, or redistribute the Service without authorization
5.3 Service Limits
Your use of the Service is subject to limits based on your subscription tier, including limits on invoices, projects, storage, team members, API requests, automation, AI usage, email volume, and customer portal activity. Exceeding these limits may result in throttling, service degradation, additional fees, or a requirement to upgrade your plan.
5.4 Customer Communications and Compliance
If you use QuoteAnvil to send estimates, invoices, reminders, receipts, marketing materials, texts, calls, or emails to your customers, you are responsible for the content, timing, consent, unsubscribe handling, and legal basis for those communications. We may suspend sending features that generate complaints, bounces, spam reports, fraud risk, payment risk, or legal exposure.
6. User Content
6.1 Your Content
You retain ownership of all content you create, upload, or store using the Service ("User Content"), including quotes, invoices, customer data, photos, and project information.
6.2 License to Us
By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit your User Content solely to provide and improve the Service. This license terminates when you delete the content or close your account, except for content that has been shared with others.
6.3 Content Responsibility
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:
- You own or have the necessary rights to use and authorize use of your User Content
- Your User Content does not violate any intellectual property rights, privacy rights, or other rights
- Your User Content does not contain illegal, defamatory, or offensive material
- You have obtained all necessary consents and permissions for any personal data in your User Content
6.4 Customer Data and Sensitive Information
You are the business of record for the customer information, job photos, measurements, files, payment requests, and project notes you enter into the Service. Do not upload government identifiers, health information, protected financial credentials, children's data, or other highly sensitive information unless the feature expressly asks for it and you have a lawful basis to do so.
6.5 Content Backup
While we perform backups designed to support service restoration, you are responsible for maintaining your own export or backup copies of business-critical User Content, tax records, invoices, estimates, contracts, and customer files. We are not liable for loss or corruption of User Content beyond the remedies expressly stated in these Terms or required by law.
7. Intellectual Property Rights
7.1 Our Rights
The Service and all related technology, software, and intellectual property are owned by QuoteAnvil and its licensors. This includes but is not limited to:
- Source code, object code, and algorithms
- User interface design and layout
- QuoteAnvil name, logo, and branding
- Documentation and user guides
- Calculators, templates, and tools
Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited license to use the Service as provided herein.
7.2 Trademarks
"QuoteAnvil" and related logos are trademarks of QuoteAnvil. You may not use our trademarks without our prior written consent.
7.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unlimited, perpetual, irrevocable license to use that feedback without compensation or attribution.
8. Third-Party Services and Integrations
The Service may integrate with third-party services and processors including:
- Payment processing (Stripe, PayPal, and related banking or risk partners)
- AI services (OpenAI, Anthropic, xAI, or other providers we enable)
- Email, SMS, communications, and customer support services
- Hosting, database, storage, analytics, monitoring, and security services
- Accounting, calendar, CRM, or file integrations you choose to connect
Your use of third-party services is subject to their respective terms, privacy policies, fees, availability, usage limits, and compliance requirements. We are not responsible for third-party outages, pricing changes, data handling, model outputs, declined payments, blocked accounts, or integration changes outside our reasonable control.
9. Disclaimers and Warranties
9.1 "AS IS" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
9.2 No Guarantee
We do not guarantee that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any errors will be corrected
- The Service will meet your specific requirements
9.3 Professional Advice
QuoteAnvil is a software tool for creating estimates, quotes, invoices, schedules, communications, and business workflows. It does not provide legal, tax, accounting, engineering, construction, insurance, licensing, code-compliance, safety, or other professional advice. You are responsible for reviewing outputs, setting prices, validating measurements, selecting materials, meeting building codes, collecting taxes, keeping records, and complying with laws and trade obligations in your jurisdiction.
9.4 AI-Generated Content
AI-powered features may produce inaccurate, incomplete, biased, unsafe, outdated, or unsuitable results. AI outputs are drafts only. You are responsible for reviewing and verifying all AI-generated estimates, measurements, descriptions, recommendations, marketing materials, customer messages, and voice or image outputs before relying on or sending them. We make no warranties about the accuracy, reliability, legality, originality, non-infringement, or suitability of AI-generated content.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTE ANVIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some limitations may not apply to you. Nothing in these Terms excludes liability that cannot legally be excluded, including non-waivable consumer guarantees or liability for fraud, willful misconduct, or personal injury caused by negligence where applicable.
You agree that QuoteAnvil is not responsible for your lost jobs, underbids, overbids, inaccurate measurements, tax miscalculations, customer disputes, chargebacks, contractor licensing issues, jobsite conditions, safety decisions, or third-party service failures unless caused by our breach of these Terms and not otherwise limited by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless QuoteAnvil, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
- Your estimates, invoices, taxes, customer communications, job performance, professional services, or payment disputes
12. Dispute Resolution and Governing Law
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky and the United States, without regard to conflict of law principles, except to the extent non-waivable laws in your location require otherwise.
12.2 Informal Resolution
Before filing a claim, you agree to contact us at legal@quoteanvil.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.
12.3 Arbitration
Any dispute arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except as modified by these Terms. The arbitration shall be conducted in Kentucky unless both parties agree otherwise.
You may opt out of arbitration by sending written notice to legal@quoteanvil.com within 30 days of first accepting these Terms. Arbitration and class-action waivers apply only to the maximum extent permitted by law and do not limit rights that cannot be waived in your jurisdiction.
12.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
12.5 Jurisdiction
You agree to submit to the personal jurisdiction of the state and federal courts located in Kentucky for any actions not subject to arbitration.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and QuoteAnvil regarding the Service and supersede all prior agreements.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
13.5 Force Majeure
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or government actions.
13.6 Data Processing Addendum
For business customers that need a data processing addendum, standard contractual clauses, or subprocessors information for GDPR, UK GDPR, Swiss, Canadian, Australian, or New Zealand compliance, contact privacy@quoteanvil.com. Any separate written data processing terms signed or accepted by us will control over conflicting terms in this document.
13.7 Survival
Provisions that by their nature should survive termination shall survive, including but not limited to payment obligations, ownership provisions, customer content responsibilities, warranty disclaimers, indemnification, limitations of liability, dispute terms, and compliance obligations.
